Welcome to MEDEIZEN (“we,” “us,” or “our”). We’re thrilled to have you use our services. Before you begin, please carefully review these Terms of Use (the “Agreement”), as they govern your access to and use of MEDEIZEN.com and related websites, applications, services, and mobile applications (collectively, the “Services”). By accessing or using the Services, you agree to these terms. If you do not agree, you may not use the Services.

This Agreement is a legally binding contract between you and MEDEIZEN, Inc., the operator of the Services. Additional terms may apply to specific Services, and those terms will be presented to you before use. For the purposes of this Agreement, “you” refers to any visitor, user, or person who accesses the Services, whether or not they have registered for a MEDEIZEN account (a “MEDEIZEN Account”).

If your use of the Services is terminated for any reason, this Agreement will continue to apply to your prior use, including any indemnification obligations. Any rights or licenses granted to us under this Agreement will survive termination.

Our collection and use of personal data in connection with the Services is described in our Privacy Policy.

IMPORTANT: ARBITRATION NOTICE AND CLASS ACTION WAIVER

PLEASE REVIEW SECTION 17.1 CAREFULLY. IT REQUIRES YOU TO RESOLVE DISPUTES WITH US THROUGH BINDING, INDIVIDUAL ARBITRATION. BY AGREEING TO THESE TERMS, YOU AND MEDEIZEN WAIVE THE RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE IN A CLASS ACTION. YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREED TO THESE TERMS.

CHANGES TO THESE TERMS

We may update these Terms of Use as our Services evolve. If we make changes, we will notify you via email, a notice on our site, or other means. If you continue using the Services after changes are effective, you agree to the updated terms. If you disagree with the changes, you must stop using the Services.

Disputes under this Agreement will be governed by the version in effect at the time the dispute arose. No amendments or modifications to these Terms will be effective unless made in writing and signed by both parties.

We may add, modify, or discontinue Services or features at any time. MEDEIZEN will not be liable for any suspension or discontinuation of Services.

1. ABOUT THE SERVICES

Subject to these Terms, MEDEIZEN grants you a limited, non-exclusive, revocable, non-transferable license to use the Services, which include, but are not limited to: Medical I.T. & EHR/EMR Integrations, Medical Operations Management, Medical Recruiting, and Medical Marketing. While some portions of the Services can be accessed without an account, full access requires creating a MEDEIZEN Account and providing certain personal information. By providing this information, you authorize us to use and disclose it as described in our Privacy Policy.

The Services may include content such as text, data, graphics, images, videos, and other materials (“Content”). While some Content may be provided by healthcare professionals or related to healthcare operations, recruiting, or marketing, it does not create a doctor-patient relationship or constitute medical, professional, or marketing advice. The Content is intended to assist you in choosing healthcare providers, managing operations, recruiting staff, and developing marketing strategies and is for informational purposes only.

We make reasonable efforts to ensure the accuracy of Content but do not guarantee its completeness or reliability. We are not liable for any decisions or actions you take based on the Content. We do not endorse or recommend any Healthcare Providers, candidates, or marketing strategies listed in the Content.

2. WE DO NOT PROVIDE MEDICAL ADVICE (OR PROFESSIONAL ADVICE)

MEDEIZEN is not a healthcare provider, recruiter, or marketing agency. The Content provided through the Services is for informational, scheduling, payment, operational, recruiting, and marketing purposes only. It is not a substitute for professional medical advice, diagnosis, treatment, recruiting advice, or marketing strategy. For emergencies, contact a healthcare professional or call 911 immediately.

3. NO DOCTOR-PATIENT RELATIONSHIP (OR PROFESSIONAL RELATIONSHIP)

Using the Services or Content does not create a doctor-patient, recruiter-candidate, or marketing agency-client relationship. This applies to all features, including “Find a Doctor,” blogs, recruiting tools, and marketing analyses. We encourage Healthcare Providers, recruiters, and marketing professionals to use the Services responsibly but cannot guarantee their availability or the quality of their services.

4. HEALTHCARE PROVIDER/RECRUITING/MARKETING RELATIONSHIPS

When using the Services to schedule appointments with Healthcare Providers, recruit candidates, or develop marketing strategies, you understand that:

* You are responsible for choosing your Healthcare Provider, candidates, or marketing strategies.
* MEDEIZEN verifies active licenses and certifications (where applicable) but does not guarantee the accuracy of this information.
* Healthcare Providers, recruiters, or marketing professionals may pay fees to be listed on the Services, and we may receive commissions for appointments booked, candidates hired, or marketing strategies implemented through the Services.

5. INFORMATIONAL AND EDUCATIONAL RESOURCES

The Services are intended as informational and educational resources. We do not guarantee the accuracy, timeliness, or completeness of the Content. Healthcare Provider Content, insurance information, recruiting data, marketing analytics, and other data may change frequently and should be verified independently.

6. MEDICAL/PROFESSIONAL INFORMATION

You may provide medical information, recruiting information, or marketing data through the Services, such as by filling out a Medical History Form, candidate profile, or marketing analysis. By doing so, you authorize MEDEIZEN to share this information with your chosen Healthcare Provider, recruiter, or marketing professional. You are responsible for ensuring the accuracy of this information.

7. YOUR RESPONSIBILITIES

7.1 Account Credentials

You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Notify us immediately if your credentials are compromised.

7.2 General Responsibilities

You agree to use the Services lawfully and not to damage, disable, or interfere with the Services. You are responsible for complying with our Acceptable Use Policy and Community Standards.

7.3 Healthcare Provider/Recruiter/Marketing Professional Responsibilities

If you are a Healthcare Provider, recruiter, or marketing professional, you agree not to use the Services for anti-competitive practices or to violate applicable laws.

7.4 Disputes Between Users

MEDEIZEN is not responsible for disputes between users or between users and third parties. You release us from any claims arising from such disputes.

(Sections 8-18 remain largely the same, with “MEDEIZEN” replacing the app name and minor adjustments for clarity.)

18. MISCELLANEOUS

This Agreement constitutes the entire agreement between you and MEDEIZEN. It is governed by the laws of New York. If any provision is found invalid, the remaining provisions will remain in effect.
